1. Introduction and Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and iCleanGo Inc. (“iCleanGo,” “we,” “our,” or “us”), governing your access to and use of the iCleanGo platform, website, and mobile application (collectively, the “Platform”).

By creating an account, accessing the Platform, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users of the iCleanGo Platform, including customers, independent contractors, cleaning agencies, and agency contractors. Where specific terms apply to a particular user type, this is clearly indicated.

iCleanGo reserves the right to update or modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Platform. Your continued use of the Platform following notification of changes constitutes your acceptance of the updated Terms. 2. Definitions

  1. For the purposes of these Terms, the following definitions apply:

“Platform” means the iCleanGo website, mobile application, and all related services operated by iCleanGo Technology Inc.

“Customer” means any individual or business that creates an account on the Platform for the purpose of posting cleaning jobs and booking cleaning services.

“Independent Contractor” means a self-employed cleaning professional who registers on the Platform, completes the iCleanGo compliance verification process, and self-selects jobs from the open job board.

“Agency” or “Cleaning Agency” means a business entity that subscribes to the iCleanGo Platform, manages a team of agency contractors, and accepts jobs through the Platform on behalf of their team.

“Agency Contractor” means an individual employed by or contracted to a registered cleaning agency and enrolled on the iCleanGo Platform by that agency.

“Contractor” means, collectively, independent contractors, cleaning agencies, and agency contractors unless otherwise specified.

“Services” means the cleaning services arranged and facilitated through the iCleanGo Platform between customers and contractors.

“Job” means a cleaning service request posted by a customer on the iCleanGo open job board.

“Agreement” means these Terms and Conditions together with iCleanGo’s Privacy Policy and any other policies incorporated herein by reference. 3. Platform Overview and Role of iCleanGo

iCleanGo operates as an open marketplace technology platform that connects customers seeking cleaning services with verified independent contractors and cleaning agencies. iCleanGo is not a cleaning company and does not employ or direct any independent contractors or agency contractors in the performance of cleaning services.

iCleanGo’s role is limited to:

∙ Providing and maintaining the technology Platform through which customers post jobs and contractors self-select or accept those jobs

∙ Facilitating the at-door dual verification system between customers and contractors

∙ Processing payments between customers and contractors or agencies through Stripe

∙ Maintaining contractor compliance records and monitoring credential validity

∙ Providing the Agency Command Centre dashboard to registered cleaning agencies

∙ Enforcing these Terms and the iCleanGo community standards

iCleanGo does not match, assign, or dispatch contractors to jobs. Contractors independently browse the open job board and self-select jobs, or in the case of agencies, accept jobs and assign them internally to their team. iCleanGo makes no representations or warranties regarding the quality, safety, legality, or suitability of any cleaning services arranged through the Platform. 4. Account Registration and Eligibility

4.1 Eligibility

To register for and use the iCleanGo Platform, you must:

∙ Be at least 18 years of age

∙ Be legally capable of entering into a binding contract under applicable law

∙ Not have been previously suspended or permanently banned from the Platform

∙ Comply with all applicable federal, provincial, and local laws in your jurisdiction

4.2 Account Registration

You agree to provide accurate, current, and complete information during the registration process and to update that information promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must not create an account on behalf of another person without their express authorization, or create multiple accounts for the purpose of evading a suspension or ban.

iCleanGo reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, with or without notice, for any violation of these Terms or for any conduct that iCleanGo determines to be harmful to the Platform, its users, or its reputation.

4.3 Account Security

You are solely responsible for maintaining the security of your account login credentials. You must notify iCleanGo immediately at marketing@icleango.com if you become aware of any unauthorized access to or use of your account. iCleanGo will not be liable for any loss or damage arising from your failure to maintain the security of your account. 5. Terms Specific to Customers

5.1 Posting a Job

When you post a job on the iCleanGo Platform, you agree to provide accurate and complete information about your property, the scope of cleaning required, and any relevant access instructions. You agree to upload accurate pre-booking photos of your property that represent its current condition at the time of booking.

5.2 Open Marketplace Contractor Acceptance

You acknowledge and understand that iCleanGo operates as an open marketplace. When you post a job, any verified contractor or registered cleaning agency on the Platform may accept your job. You will not have the ability to pre-approve a specific contractor before a job is accepted. Once a contractor accepts your job, iCleanGo will automatically send you the contractor’s full profile, including their photo, credentials, ratings, and verified review history, so you know exactly who is coming to your property.

5.3 At-Door Verification Responsibilities

You agree to participate in iCleanGo’s at-door dual verification process. When the contractor arrives at your property, you agree to scan the contractor’s ID barcode presented through their iCleanGo app, and to provide your unique 4-digit PIN to the contractor to allow them to confirm they are at the correct location performing the correct job. You must not grant access to your property to any individual whose barcode does not match the contractor profile sent to you by iCleanGo, or where the PIN verification fails.

5.4 Checklist and Property Standards

You are responsible for building your room-by-room digital checklist accurately before the job begins. The checklist represents the agreed scope of work for the job. You agree not to request services outside the agreed checklist scope during the job without mutual agreement with the contractor and any applicable adjustment to the job price.

5.5 Property Condition

You are responsible for ensuring that your property is in a condition that is safe and accessible for the contractor to perform the cleaning services. You agree to disclose any known hazards, access restrictions, or special requirements at the time of booking.

5.6 Payment

By booking a job on the iCleanGo Platform, you authorize iCleanGo to process payment for the job through Stripe in accordance with the quoted price generated at the time of posting. Payment is processed and released upon job completion. All prices are displayed in Canadian dollars unless otherwise specified. iCleanGo’s service fees are included in the quoted price.

5.7 Cancellations and Refunds

Cancellation and refund policies are governed by iCleanGo’s Cancellation Policy, which is incorporated into these Terms by reference and available on the Platform. iCleanGo reserves the right to assess cancellation fees where a booking is cancelled within a specified period before the scheduled job time.

5.8 Reviews

Following completion of a job, you may leave a verified review of the contractor or agency. Reviews must be honest, accurate, and based on your genuine experience. You must not post false, defamatory, or malicious reviews. iCleanGo reserves the right to remove any review that violates these Terms or iCleanGo’s community standards. 6. Terms Specific to Independent Contractors

6.1 Independent Contractor Status

You acknowledge and agree that you are an independent contractor and not an employee, agent, partner, or joint venture of iCleanGo. iCleanGo does not control the manner in which you perform cleaning services, the hours you work, or the jobs you choose to accept. You are solely responsible for all taxes, deductions, insurance, and other obligations arising from your work as an independent contractor.

6.2 Compliance Verification Requirements

Before accessing the iCleanGo job board, you must complete and maintain iCleanGo’s four-layer compliance verification:

∙ A valid background check

∙ Government-issued photo identification

∙ Proof of address

∙ Active commercial liability insurance

You are responsible for ensuring that all compliance documents remain current and valid. iCleanGo’s auto-expiry alert system will notify you in advance of upcoming expiry dates. Failure to renew any required document by its expiry date will result in immediate suspension of your access to the Platform until the document is updated and approved.

6.3 Job Selection and Acceptance

You acknowledge and agree that the iCleanGo job board is open and that you self-select jobs independently based on your own assessment of location, scope, and earnings. Once you accept a job through the Platform, you are committed to completing that job in accordance with the customer’s checklist and iCleanGo’s service standards. You must not accept a job that you do not intend to complete.

6.4 At-Door Verification Responsibilities

When you arrive at a customer’s property, you agree to open your iCleanGo app and present your contractor ID barcode to the customer for scanning. You agree to accept the customer’s 4-digit PIN and enter it into your app to confirm you are at the correct address performing the correct job. You must not attempt to circumvent or falsify any step of the at-door verification process.

6.5 Photo Documentation

You agree to take and submit before photos immediately upon arrival at the customer’s property, and after photos immediately upon completion of the cleaning job, through the iCleanGo app. Before photos will be automatically cross-referenced against the customer’s pre-booking uploads. After photos will be automatically sent to the customer. Failure to complete the required photo documentation may result in disputes, withheld payment, or account suspension.

6.6 Real-Time Checklist Compliance

You agree to work through the customer’s room-by-room digital checklist in real time through the iCleanGo app, checking off each task as it is completed. The checklist represents the agreed scope of work and is visible to the customer throughout the job. You must not mark tasks as complete that have not been performed.

6.7 Commission and Payment

iCleanGo deducts a platform commission from each job completed through the Platform. Your commission rate is determined by your subscription tier and performance level, with rates decreasing as you progress through iCleanGo’s performance tiers up to Elite status. Earnings are paid out every Friday via Stripe to your registered bank account. iCleanGo reserves the right to withhold payment pending investigation of any dispute, complaint, or suspected fraudulent activity.

6.8 Conduct Standards

You agree to conduct yourself in a professional and respectful manner at all times when interacting with customers, agencies, and iCleanGo staff. You must arrive on time, present your ID barcode as required, complete the job to the standard set out in the customer’s checklist, and leave the customer’s property in a clean and orderly condition. 7. Terms Specific to Cleaning Agencies

7.1 Agency Status and Responsibilities

By subscribing to iCleanGo as a cleaning agency, you represent and warrant that your business is duly registered and in good standing under applicable Canadian law. You acknowledge that you are solely responsible for the employment, supervision, compensation, and conduct of all agency contractors enrolled under your agency account on the iCleanGo Platform.

iCleanGo is not a party to the employment or contractual relationship between your agency and your agency contractors. iCleanGo does not direct, supervise, or control the work of agency contractors.

7.2 Subscription and Billing

Agency access to the iCleanGo Platform is subject to a monthly subscription fee based on your selected tier Starter, Growth, Pro, or Enterprise. Subscription fees are billed monthly through Stripe. City expansion coverage is available at an additional flat monthly rate per city. iCleanGo reserves the right to adjust subscription pricing with reasonable notice to existing subscribers.

Failure to maintain an active subscription in good standing will result in suspension of your agency’s access to the Platform, including access to the Agency Command Centre dashboard and the open job board.

7.3 Agency Contractor Compliance

You are responsible for ensuring that all agency contractors enrolled under your account meet iCleanGo’s compliance requirements for agency contractors, including:

∙ A valid background check

∙ Government-issued photo identification (driver’s licence)

∙ Proof of address

Your agency is solely responsible for providing and maintaining active commercial liability insurance, WSIB coverage, and all required company documentation for your entire team. You must ensure that your agency’s insurance and documentation remain current at all times. iCleanGo reserves the right to suspend or remove any agency contractor whose compliance requirements are not met.

7.4 Job Acceptance and Assignment

When your agency accepts a job from the iCleanGo open job board, you are committing your agency to the completion of that job in accordance with the customer’s checklist and iCleanGo’s service standards. You are responsible for assigning the job to an appropriate agency contractor through your Agency Command Centre dashboard in a timely manner. You must not accept jobs that your agency does not have the capacity or capability to complete.

7.5 Agency Command Centre

iCleanGo grants your agency access to the Agency Command Centre dashboard as part of your subscription. The dashboard is provided as a tool to support your agency’s operations and is subject to iCleanGo’s ongoing maintenance, updates, and availability. iCleanGo does not guarantee uninterrupted access to the dashboard and will not be liable for any loss arising from temporary unavailability of the tool.

7.6 Payment to Agency

iCleanGo will pay your agency the full job amount less the applicable platform commission based on your subscription tier, every Friday via Stripe. Your agency is solely responsible for compensating your agency contractors from the funds received. iCleanGo has no obligation or liability with respect to the compensation arrangements between your agency and your agency contractors.

iCleanGo reserves the right to withhold payment to an agency pending investigation of any dispute, complaint, or suspected fraudulent activity.

7.7 Agency Conduct and Accountability

You are accountable for the professional conduct, performance, and compliance of all agency contractors enrolled under your account. Any violation of these Terms or iCleanGo’s community standards by an agency contractor may result in action against both the individual contractor and the agency account, up to and including suspension or permanent removal from the Platform. 8. Terms Specific to Agency Contractors

8.1 Enrollment and Status

Your account on the iCleanGo Platform is created and managed by your registered cleaning agency. You acknowledge that your access to the Platform is contingent on your continued enrollment under your agency and on the agency’s subscription remaining in good standing. If your agency’s account is suspended or terminated, your access to the Platform will also be suspended or terminated.

8.2 Compliance Requirements

Before being cleared to work on the Platform, you must provide your agency with the following documents for submission to iCleanGo:

∙ A valid background check

∙ Government-issued photo identification (driver’s licence)

∙ Proof of address

Your agency is responsible for providing commercial liability insurance, WSIB coverage, and all required company documentation on your behalf. You are responsible for notifying your agency promptly if any of your personal compliance documents expire or require renewal.

8.3 Job Assignments

You acknowledge that jobs are assigned to you by your agency and that you do not have direct access to the iCleanGo open job board. You agree to accept assignments from your agency in accordance with your employment or contractual arrangement with the agency. iCleanGo is not a party to any dispute between you and your agency regarding job assignments, scheduling, or compensation.

8.4 At-Door Verification, Photo Documentation, and Checklist

You agree to comply with all iCleanGo Platform requirements at the job site, including presenting your contractor ID barcode to the customer for scanning, entering the customer’s 4-digit PIN to verify your location and assignment, taking and submitting before and after photos through the iCleanGo app, and completing the customer’s room-by-room digital checklist in real time.

8.5 Compensation

Your compensation for jobs completed through the iCleanGo Platform is determined entirely by your agency. iCleanGo pays your agency directly and has no obligation or liability with respect to your individual compensation. All disputes regarding your pay must be directed to your agency. 9. Prohibited Conduct

The following conduct is strictly prohibited on the iCleanGo Platform and may result in immediate account suspension or permanent termination, at iCleanGo’s sole discretion, with or without prior notice.

9.1 Identity and Verification Fraud

∙ Providing false, misleading, or fraudulent information during account registration or compliance verification

∙ Submitting forged, altered, or expired identity documents, background checks, insurance certificates, or other compliance documentation

∙ Attempting to circumvent, falsify, or bypass the at-door dual verification system, including presenting a barcode belonging to another contractor or entering an incorrect PIN

∙ Allowing another individual to perform a job under your account or credentials

∙ Impersonating another user, contractor, or iCleanGo representative in any way

9.2 Off-Platform Transactions

∙ Soliciting, arranging, or accepting payment for cleaning services directly from customers outside of the iCleanGo Platform, including cash, e-transfer, or any other method of payment that bypasses the Platform

∙ Exchanging personal contact information with customers or contractors for the purpose of conducting business outside of the Platform

∙ Encouraging or inducing a customer or contractor to terminate their relationship with iCleanGo in order to conduct business directly

9.3 Misconduct at the Job Site

∙ Entering a customer’s property without completing the required at-door dual verification

∙ Accessing areas of a customer’s property beyond the agreed scope of work without the customer’s express permission

∙ Removing, damaging, or misappropriating any property belonging to a customer

∙ Engaging in any threatening, abusive, harassing, or discriminatory conduct toward a customer, contractor, or any other person at the job site

∙ Failing to complete the agreed checklist without notifying the customer and obtaining their consent to modify the scope of work

∙ Taking photos, recordings, or any other form of media at a customer’s property beyond the required job documentation without the customer’s express consent

∙ Attending a job site under the influence of alcohol or any controlled substance

9.4 Platform Abuse

∙ Creating multiple accounts for the purpose of evading a suspension, ban, or other Platform restriction

∙ Manipulating, falsifying, or incentivizing reviews including offering payment, discounts, or other incentives in exchange for positive reviews, or threatening customers to prevent negative reviews

∙ Marking checklist items as complete when the corresponding task has not been performed

∙ Submitting false or misleading before or after photos

∙ Using the Platform for any unlawful purpose, including but not limited to fraud, money laundering, or the facilitation of any illegal activity

∙ Attempting to access, interfere with, or disrupt the Platform’s systems, servers, or data through any unauthorized means

∙ Scraping, copying, or reproducing any portion of the Platform’s content, data, or functionality without iCleanGo’s express written consent

9.5 Breach of Confidentiality and Privacy

∙ Sharing, disclosing, or misusing any personal information obtained through the Platform, including customer addresses, contact details, or property information, for any purpose beyond the performance of the booked job

∙ Retaining customer personal information beyond the completion of the job for which it was shared 10. Account Suspension and Termination

10.1 Suspension by iCleanGo

iCleanGo reserves the right to suspend or restrict access to any account, with or without notice, where iCleanGo reasonably believes that:

∙ The account holder has violated any provision of these Terms

∙ The account holder’s conduct poses a risk to the safety, wellbeing, or privacy of any user or third party

∙ Compliance documents have lapsed and have not been renewed within the required timeframe

∙ A dispute, complaint, or investigation is pending that requires account activity to be restricted

∙ Payment obligations have not been fulfilled

10.2 Permanent Termination

iCleanGo reserves the right to permanently terminate any account, with or without notice, for serious, repeated, or egregious violations of these Terms, including but not limited to identity fraud, off-platform solicitation, theft or damage of customer property, harassment or assault, or any conduct that brings the iCleanGo Platform or community into disrepute.

10.3 Termination by the User

You may close your account at any time by contacting iCleanGo at marketing@icleango.com. Termination of your account does not relieve you of any obligations or liabilities that arose prior to the date of termination, including any outstanding payment obligations or pending disputes.

10.4 Effect of Termination

Upon termination of your account, your right to access and use the Platform ceases immediately. iCleanGo will retain your personal information in accordance with the iCleanGo Privacy Policy and applicable legal obligations. Any funds owed to you at the time of termination will be processed in accordance with iCleanGo’s standard payout schedule, subject to any outstanding disputes or investigations. 11. Payments, Fees, and Taxes

11.1 Payment Processing

All payments on the iCleanGo Platform are processed through Stripe. By using the Platform, you agree to Stripe’s Terms of Service and authorize iCleanGo to facilitate payment transactions on your behalf through Stripe.

11.2 Platform Fees and Commission

iCleanGo charges platform fees and commissions in accordance with the pricing structure applicable to your user type and subscription tier. These fees are clearly communicated at the time of account setup and are subject to change with reasonable advance notice to existing users.

11.3 Taxes

Each user is solely responsible for determining and fulfilling their own tax obligations arising from their use of the iCleanGo Platform, including but not limited to income tax, HST/GST, and any other applicable taxes. iCleanGo does not provide tax advice and does not withhold taxes on behalf of contractors or agencies. iCleanGo may issue payment summaries to assist users in meeting their tax reporting obligations where required by law.

11.4 Disputed Payments

If you believe a payment has been processed incorrectly, you must notify iCleanGo at marketing@icleango.com within 14 days of the transaction date. iCleanGo will investigate the matter and communicate its findings within a reasonable timeframe. iCleanGo’s determination with respect to disputed payments is final, subject to any rights you may have under applicable law. 12. Limitation of Liability

To the maximum extent permitted by applicable law, iCleanGo shall not be liable for:

∙ Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform

∙ Any loss or damage arising from the conduct, acts, or omissions of any contractor, customer, agency, or agency contractor using the Platform

∙ Any loss or damage to property arising from cleaning services arranged through the Platform

∙ Any unauthorized access to or alteration of your account or data

∙ Any interruption, suspension, or termination of Platform services

∙ Any reliance on information provided through the Platform

iCleanGo’s total aggregate liability to any user for any claim arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by that user to iCleanGo in the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall limit or exclude iCleanGo’s liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law. 13. Indemnification

You agree to indemnify, defend, and hold harmless iCleanGo Technology Inc. and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

∙ Your use of or access to the Platform

∙ Your violation of these Terms

∙ Your violation of any applicable law or regulation

∙ Any dispute between you and another user of the Platform

∙ Any cleaning services performed or arranged through the Platform

∙ Any content or information you submit to the Platform 14. Intellectual Property

The iCleanGo Platform, including its name, logo, design, software, content, and all associated intellectual property, is owned exclusively by iCleanGo Technology Inc. and is protected by applicable Canadian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purpose in accordance with these Terms. You must not reproduce, copy, distribute, modify, create derivative works of, reverse engineer, or otherwise exploit any portion of the Platform without iCleanGo’s express prior written consent.

Any feedback, suggestions, or ideas you submit to iCleanGo regarding the Platform may be used by iCleanGo without restriction and without any obligation to compensate you. 15. Dispute Resolution

15.1 Good Faith Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the iCleanGo Platform, the parties agree to first attempt to resolve the matter through good faith negotiation. You must notify iCleanGo of any dispute by contacting us at marketing@icleango.com. iCleanGo will acknowledge your notice within 5 business days and the parties will have 30 days from the date of notice to attempt to resolve the dispute informally.

15.2 Arbitration

If the dispute cannot be resolved through good faith negotiation within the 30-day period, either party may refer the matter to binding arbitration. Arbitration shall be conducted in Ottawa, Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario), by a single arbitrator mutually agreed upon by the parties, or if the parties cannot agree, appointed in accordance with the applicable rules of a recognized arbitration institution.

The arbitration shall be conducted in English. The arbitrator’s decision shall be final and binding on both parties and may be enforced as a court judgment. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.

The following matters are excluded from mandatory arbitration and may be brought directly before the courts: applications for injunctive or other urgent interim relief, claims relating to intellectual property infringement, and enforcement of an arbitration award.

15.3 Recourse to Courts

If arbitration does not resolve the dispute, or in cases excluded from arbitration under Section 15.2, the parties agree that any legal proceedings shall be brought exclusively in the courts of the Province of Ontario, Canada, and each party irrevocably submits to the jurisdiction of those courts.

15.4 Class Action Waiver

To the maximum extent permitted by applicable law, you agree to resolve any disputes with iCleanGo on an individual basis only and waive any right to participate in a class action lawsuit or class-wide arbitration against iCleanGo. 16. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. 17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect. 18. Entire Agreement

These Terms, together with iCleanGo’s Privacy Policy and any other policies incorporated herein by reference, constitute the entire agreement between you and iCleanGo with respect to your use of the Platform and supersede all prior agreements, understandings, representations, and warranties, whether written or oral, relating to the same subject matter. 19. Waiver

iCleanGo’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of a breach of these Terms must be in writing and signed by an authorized representative of iCleanGo to be effective. 20. Contact Us
